1. Introduction
These Terms govern your use of SourcingEye’s website and services. By using our site or submitting an RFQ, you agree to these Terms.

2. Definitions

  • Buyer: a person or company requesting fabrics or samples.
  • Supplier / Mill: a verified factory providing fabric, samples or production.
  • RFQ: Request For Quotation submitted via the platform.

3. Service description
SourcingEye facilitates connections between Buyers and verified Suppliers, provides RFQ tools, sample coordination and optional support services (logistics, inspection). We act as a facilitator unless otherwise agreed in writing.

4. RFQ & ordering process

  • Buyers submit RFQs specifying fabric requirements. Verified Suppliers respond with quotes, lead times and sample options.
  • A sales contract is concluded directly between Buyer and Supplier when both parties agree on price and terms, or when an invoice/purchase order is issued and accepted.
  • SourcingEye is not the seller of goods unless explicitly stated in writing.

5. Pricing & payment

  • Quotes from Suppliers are indicative until confirmed by invoice.
  • Payment terms (deposit, T/T, L/C) are set by the chosen Supplier; Buyers must comply with agreed payment terms.

6. Delivery & shipping

  • Shipping terms (EXW, FOB, CIF, DDP etc.) are agreed between Buyer and Supplier.
  • Inspection, packing and logistics arrangements should be agreed upfront; SourcingEye can assist on request.

7. Samples & lab-dips

  • Samples and lab-dips are handled per Supplier policy. Buyers must approve lab-dips in writing prior to bulk production to avoid color/spec variances.

8. Warranties & liability

  • Suppliers warrant that goods conform to agreed specifications and are free from material defects. Warranty remedies are subject to Supplier terms.
  • SourcingEye provides facilitation services and does not assume liability for product defects, shipping loss, or Supplier non-performance beyond reasonable facilitation. To the extent permitted by law, SourcingEye’s liability is limited to direct damages up to the amount paid for SourcingEye services in the preceding six months.

9. Intellectual property
All content on the site is owned by SourcingEye or licensed. You may not reuse proprietary content without permission.

10. Privacy & data
Use of data is governed by our Privacy Policy.

11. Termination
We may suspend or terminate access for users who breach these Terms, engage in illegal activity, or harm other users.

12. Force majeure
Neither party is liable for delays caused by events beyond reasonable control (natural disasters, strikes, export restrictions).

13. Governing law
These Terms are governed by the laws of [REPLACE WITH COUNTRY, e.g., Bangladesh]. Disputes are subject to the competent courts of that jurisdiction unless otherwise agreed.

14. Changes
We may update these Terms; continued use constitutes acceptance of updated Terms.
